Terms of Service
These Terms of Service govern your access to and use of the Seedicon Events and Seedicon CRM platform, including event hosting, booking, contact management, business card scanning, CRM functionality, and email marketing tools (collectively, the 'Platform'), operated by Seedicon India Private Limited ('Company', 'we', 'us'). By accessing or using the Platform, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years of age and capable of entering into a legally binding agreement to use the Platform. By registering, you represent that you meet these requirements and that all information you provide is accurate.
2. Account Registration
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately at legal@seedicon.com of any unauthorised access. We reserve the right to suspend or terminate accounts that violate these Terms.
3. Acceptable Use
You may use the Platform to:
- Create, publish, and manage events
- Purchase tickets and register for events
- Scan and store business cards and contact data
- Manage contact relationships and follow-up communications
- Send email and WhatsApp marketing to opted-in contacts
You may not:
- Upload false, misleading, or fraudulent event listings
- Use the Platform to send unsolicited communications (spam)
- Harvest, scrape, or collect data from other users without consent
- Attempt to reverse engineer, copy, or circumvent any part of the Platform
- Use the Platform for any unlawful purpose or in violation of applicable law
- Process personal data of individuals without a lawful basis
4. Event Organiser Obligations
Organisers are solely responsible for the accuracy, legality, and fulfilment of their events. Organisers must honour stated refund policies, comply with all applicable laws including consumer protection and tax obligations, and not misrepresent events to attendees. The Company is not liable for organiser non-performance.
5. Ticketing and Payments
Payment processing is facilitated via Razorpay. By purchasing a ticket, you agree to Razorpay's terms. Organiser payouts are processed within T+2 business days of a successful sale. Refunds for cancelled events are processed within 5-7 business days to the original payment method. The Company charges platform fees as described on the Pricing page.
6. Contact and CRM Data
When you scan a business card or import contacts, you represent that you have a legitimate business relationship or lawful basis to store and process that individual's data. You must not use CRM features to process sensitive personal data without explicit consent, or to harass, stalk, or spam individuals. See our Contact Data Usage Policy for full obligations.
7. Email and WhatsApp Marketing
You may only send marketing communications to contacts who have provided opt-in consent. You must honour all unsubscribe and opt-out requests promptly. Sending unsolicited bulk messages through the Platform is prohibited and may result in immediate account termination. You are responsible for compliance with CAN-SPAM, GDPR, DPDP Act 2023, and WhatsApp Business API policies.
8. Intellectual Property
All Platform software, design, trademarks, and content owned by the Company remain our exclusive property. You retain ownership of your content and data but grant the Company a limited, non-exclusive licence to host and process it solely to provide the services. You may not use our trademarks or branding without prior written consent.
9. Subscription and Freemium Terms
The Platform offers a free tier with limited features and paid Pro/Enterprise plans. Subscription fees are billed in advance and are non-refundable except as required by law. We may modify pricing with 30 days' notice. Continued use after a price change constitutes acceptance.
10. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities. Our total aggregate liability for any claim shall not exceed the amount you paid to us in the 3 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless the Company and its officers, employees, and agents from any claims, damages, or costs arising from your use of the Platform, your content, your events, or your violation of these Terms or any third-party rights.
12. Disclaimers
The Platform is provided 'as is' without warranties of any kind. We do not guarantee uninterrupted service or freedom from errors. We are not responsible for the conduct of event organisers or attendees, or for the accuracy of contact data scanned or imported.
13. Termination
We may suspend or terminate your account at any time for breach of these Terms. You may delete your account at any time via Settings. Upon termination, your right to use the Platform ceases immediately. Data deletion is handled per our Data Retention Policy.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Disputes shall first be attempted to be resolved by negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Bangalore, India under the Arbitration and Conciliation Act, 1996. Nothing prevents either party from seeking injunctive relief in a court of competent jurisdiction.
15. Changes to Terms
We may update these Terms with 14 days' notice via email or in-app notification. Continued use constitutes acceptance. If you do not agree to updated Terms, you must discontinue use and may delete your account.
